to be paid in full by the Buyer to the Seller at the time of sale. VICash Cars operates on a cash-only transaction model. No financing, credit, or deferred payment arrangements are offered or facilitated. Payment shall be made in cash, certified check, or other immediately available funds acceptable to the Seller.

4. Sale "As Is" Condition

The Buyer acknowledges and agrees that the Vehicle is sold "AS IS, WHERE IS," with all faults and defects, whether known or unknown, and with no warranties, express or implied, of any kind. The Seller makes no representation or warranty regarding the condition, merchantability, fitness for a particular purpose, or future performance of the Vehicle. The Buyer has had the opportunity to inspect the Vehicle and accepts it in its present condition.

5. Inspection & Roadworthiness

The Seller represents that, to the best of its knowledge, the Vehicle can pass a standard motor vehicle inspection as required by applicable U.S. Virgin Islands and state law at the time of sale. The Buyer acknowledges that, because the Vehicle is sold "As Is," the Seller is not responsible for any condition that may cause the Vehicle to fail a future inspection arising after the date of sale, including but not limited to wear and tear, improper use, or lack of maintenance by the Buyer. The Buyer is strongly encouraged to have an independent inspection performed prior to signing this Agreement.

6. Title & Transfer of Ownership

The Seller warrants that it has good and marketable title to the Vehicle, free and clear of all liens, encumbrances, and claims of any third party. Upon receipt of full payment, the Seller shall transfer ownership of the Vehicle to the Buyer by signing over the Certificate of Title and providing all documents necessary to register the Vehicle in the Buyer's name. The Buyer is responsible for all registration fees, taxes, and transfer costs associated with titling the Vehicle.

7. Buyer's Responsibility

The Buyer assumes full responsibility for the Vehicle upon delivery, including but not limited to insurance, registration, maintenance, repairs, and compliance with all applicable laws. The Buyer shall register the Vehicle in their name within the timeframe required by local law.

8. Indemnification

The Buyer agrees to indemnify and hold harmless the Seller, its officers, employees, and agents from any and all claims, damages, losses, or expenses (including reasonable attorney's fees) arising out of or related to the Buyer's use, operation, or ownership of the Vehicle after the date of sale.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the U.S. Virgin Islands and the applicable state. Any dispute arising under this Agreement shall be resolved in the appropriate courts having jurisdiction.

10. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior negotiations, representations, or agreements, whether written or oral. No modification of this Agreement shall be binding unless in writing and signed by both parties.

By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions of this Agreement, including the "As Is" sale condition in Section 4 and the inspection representation in Section 5.
